I love the first one, but (and I know this is very cliché) Ledger took it to a whole new level. There's something to be said for the thrill of a film actually living up to enormous hype.

Heath came out with something we hadn't ever seen before, his brooding appeal came from the very vulnerability that made him an initial teen heart throb. He just twisted it.
Law is just as capable of playing any other role Heath did, this one? Maybe not. But is anyone else?
Depp couldn't do it the way Heath did, I think he's even said that he'll only do the kinds of films he wants his kids to watch. Depp himself also has a star factor around him, that will in itself overshadow a tribute to another mans creation Heath's Joker. Johnny while a fantastic actor would be distracting in the role.
If it's one thing Depp can do it's dark-and-creepy.
